2. Acceptance of the Terms

By creating an account, you confirm that you have read and accepted these Terms and the privacy policy. This electronic acceptance has the same value as a handwritten signature. If you act on behalf of an organization, you confirm that you are authorized to bind it.

ProDashboard is a professional service reserved for adults acting in the course of their own or their organization's professional activity.

3. Description of the service

ProDashboard makes it possible, among other things, to:

• create a workspace for an organization and structure its entities (departments, units, divisions);
• manage cases, their documents, tasks, deadlines and history;
• have documents and cases approved through approval circuits;
• publish internal information and follow the organization's activity;
• exchange messages and files with colleagues and contacts (personal messaging);
• get help through the built-in support.

The features available depend on the plan subscribed by the organization, described on the Pricing page.

4. User accounts

• You must provide accurate information and keep it up to date.
• Your account is personal: you must not share your credentials. We recommend enabling two-factor authentication.
• You are responsible for the actions carried out from your account. Notify us without delay of any unauthorized use.
• You can delete your account at any time from your profile, subject to section 9.

5. Organizations, roles and client data

The organization that creates a workspace is its administrator. It invites its members, assigns their roles and decides which data is entered. It is the controller of that data and responsible for its lawfulness.

FALI TECH ENGINEERING SARL acts as processor for this data: it processes it only on the organization's instructions and to provide the service, guarantees its confidentiality and security, and does not use it for any other purpose.

The organization remains the owner of its data and content. It only grants us the right to host, process and display it to authorized people, for as long as needed to provide the service.

6. Messaging

Messaging is a personal, free service. It does not depend on an organization's subscription. You can write to your colleagues in the organizations you belong to, or to anyone else with an account, provided you know their full email address.

• Each user has 1 GB of space for the files they send in the messaging. A single file cannot exceed 25 MB.
• You are responsible for the messages and files you send. You can edit or delete them at any time.
• You can block someone: neither of you will be able to send direct messages or add the other to a group. You can unblock them at any time.
• You can report a message or a person to the ProDashboard administrators. The report sends them a copy of the reported message, and only that. They may then warn, suspend or exclude the author of a breach of these Terms.
• We do not read your conversations. We only access them when the law requires it or, for a report, through the copy of the reported message.

7. Acceptable use

You must not use ProDashboard to:

• store or share unlawful, defamatory or hateful content, or content that infringes the rights of others;
• send unsolicited bulk messages or harass other users;
• transmit viruses or any malicious code;
• attempt unauthorized access to the platform, its servers or other users' accounts;
• disrupt the service or bypass its technical limits;
• copy, decompile or extract the platform's code, except where the law allows it.

In the event of a breach, we may suspend the access concerned, after formal notice except in urgent cases or serious breaches.

8. Subscriptions, trial and payment

• Plans and their prices are shown on the Pricing page. A plan may include a free trial, whose length is shown with the plan.
• The subscription is paid in advance, monthly or yearly, by Mobile Money (MTN MoMo, Moov Money, Celtiis Cash) or bank transfer. It is activated once the payment is confirmed.
• We may change our prices. Any change is announced at least 30 days in advance and applies from the next period.
• The organization can cancel at any time from its settings. It keeps access until the end of the period already paid. Amounts paid for a started period are not refunded, unless the law provides otherwise.
• When a subscription expires without renewal, the organization's workspace becomes read-only for 4 months, so it can consult and retrieve its data. Access is then suspended.

9. End of the contract and data

At the end of the contract, we return its data to the organization that asks for it, in a commonly used format, then delete it within 90 days, backups included, unless a legal retention obligation applies.

Deleting a user account is immediate. An account that appears in the history of an approval circuit cannot be deleted directly, because the organization must be able to know who submitted and who approved: the request is then handled with the organization.

10. Availability and changes to the service

We do our best to keep ProDashboard available at all times, without being able to guarantee it. Interruptions may occur for maintenance, updates or incidents. We announce planned maintenance whenever possible.

We keep improving the service. When a change removes a feature included in a paid plan, we inform the organizations concerned with reasonable notice.

11. Liability

FALI TECH ENGINEERING SARL is bound by an obligation of means. It is liable for direct damage resulting from a proven breach of its obligations. It cannot be held liable for indirect damage (loss of revenue, loss of customers), for content entered by users, or in cases of force majeure.

Except in the case of gross or intentional misconduct, the publisher's total liability is limited to the amounts paid by the organization over the 12 months preceding the event giving rise to the claim.

Each organization remains responsible for how it uses the service, the rights it grants to its members and the decisions taken based on the information it contains.

12. Intellectual property

ProDashboard, its code, interface, brand and own content belong to FALI TECH ENGINEERING SARL. The subscription grants a personal, non-exclusive right of use for the term of the contract; it does not transfer any ownership.

Users and organizations keep all their rights over the content they upload. They warrant that they hold the necessary rights over that content.

13. Personal data

Personal data is processed in accordance with Book V of the Digital Code and our privacy policy, which sets out each party's role, the data processed, how long it is kept and your rights.

14. Evidence

Records kept in our systems (acceptance of the Terms, history of actions, approvals and payments) are binding between the parties unless proven otherwise.

15. Changes to the Terms

We may change these Terms. Significant changes are announced by email or by a message in the platform at least 30 days before they take effect. If you do not accept them, you may cancel before that date; continuing to use the service after that date means you accept them.

16. Governing law and disputes

These Terms are governed by Beninese law.

In the event of a dispute, the parties first seek an amicable solution: write to us at contact@falitech-engineering.com. Failing agreement within 30 days, the dispute is brought before the competent courts of Cotonou.
